1. Introduction

Welcome to Smart & Simple Enterprise (“we”, “us”, or “our”). By accessing our website https://web.smartsimple.dev or using our services, you agree to comply with and be bound by these Terms of Service (“Agreement” or “Terms”).

If you are entering into this Agreement on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree with these Terms, please discontinue using our services immediately.

2. Our Services

We provide digital solutions including but not limited to:

• WordPress VPS deployment and configuration
• Website installation, migration, and maintenance assistance
• Integration and setup of open-source AI projects (e.g., GitHub, Hugging Face)
• Technical consultation and automation support

All services are offered according to each customer’s project scope and agreement.

3. Intellectual Property & Content Ownership

(1) Company Content

All materials and content available through our website or services — including designs, code, graphics, documentation, and configurations — are the exclusive property of Smart & Simple Enterprise or its licensors.

• Do not copy, distribute, modify, or resell our materials.
• Do not reverse-engineer or decompile our configurations.
• Do not reuse our content for commercial redistribution without written approval.

(2) Client Content

Clients may provide files, data, and materials (such as website content or API credentials) for setup and deployment. All client-provided materials remain the property of the client.

Clients warrant that their materials do not infringe third-party rights. By submitting content, clients grant us a limited license to use it solely for service delivery and backup purposes.

4. Payment & Fees

1. Payment Terms: All payments must be made in advance (monthly, quarterly, or yearly). Fees are non-refundable once services start, except where we fail to deliver as agreed.
2. Payment Methods: We accept FPX / DuitNow, PayPal, Credit/Debit Cards, and other approved methods. All transactions are SSL-encrypted; we do not store card details.
3. Third-Party Services: If your project requires external services (e.g., Hugging Face, GitHub Pages, Vercel, Cloudflare, Google Cloud), we will confirm via email before setup. If no request is made, integrations will not be enabled by default.

5. Renewal & Termination

• You will receive a renewal reminder 7–30 days before expiration.
• Failure to pay by due date may result in suspension or termination.
• To terminate, notify us at least 7 days in advance via email.

Upon termination, all data will be permanently deleted within 7 days. Clients must back up their data. We are not responsible for post-termination data loss. No refunds for remaining periods.

6. Refund Policy

Refunds apply only for proven technical failures caused by us. Refunds do not apply for change of mind, disinterest, or lack of knowledge. Requests must be sent to [email protected] and will be reviewed within 7 working days.

7. Data Protection & Privacy

We comply with the Personal Data Protection Act (PDPA) 2010 of Malaysia. We never sell or rent client data. All information shared with us is protected by our Privacy Policy.

8. Limitation of Liability

• We are only liable for services explicitly agreed upon.
• We are not responsible for third-party software or external outages.
• Clients are solely responsible for maintaining backups.

9. Service Modifications

We reserve the right to modify, update, or discontinue services or pricing at any time. Changes take effect immediately upon notification via email or our website.

10. Contact Information

These Terms of Service take effect upon publication and apply to all current and new clients. In case of discrepancies between language versions, the English version shall prevail.
